Terms of Service

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us immediately of any unauthorised use.

2. The Service

confirmed enables merchants to automatically confirm e-commerce orders with their customers through WhatsApp messages, and integrates with platforms such as Converty and Shopify. We may add, modify, or remove features at any time. We aim for high availability but do not guarantee that the Service will be uninterrupted or error-free.

3. WhatsApp & Meta terms

The Service uses the WhatsApp Business Platform (Cloud API) provided by Meta. By using WhatsApp features through confirmed, you also agree to comply with:

• The WhatsApp Business Messaging Policy;
• The WhatsApp Business Terms of Service; and
• Meta’s Platform Terms and Developer Policies.

You are responsible for ensuring that your use of WhatsApp messaging through the Service complies with these policies. Violations may result in restrictions imposed by Meta that are outside our control.

4. Acceptable use

You agree not to use the Service to:

• Send spam, unsolicited, deceptive, or unlawful messages;
• Violate any applicable law, regulation, or third-party rights;
• Transmit malware or attempt to disrupt or gain unauthorised access to the Service;
• Harass, abuse, or harm others;
• Misrepresent your identity or affiliation, or infringe intellectual property rights.

5. Messaging & consent

You are solely responsible for obtaining and maintaining all necessary consents from your customers before sending them messages through the Service, and for honouring opt-out requests. You must only message customers where you have a valid basis to do so (for example, a recent order) and in accordance with the WhatsApp Business Messaging Policy and applicable law.

6. Merchant & customer data

As between you (the merchant) and us, you own the data you submit, including your customers’ data. You grant us a limited licence to process this data solely to provide the Service. With respect to your customers’ personal data, we act as your data processor, as described in our Privacy Policy. You are responsible for having a lawful basis to collect and share that data with us.

7. Fees & billing

Paid plans are billed in advance on a recurring basis (monthly or as otherwise stated at checkout). Fees are non-refundable except where required by law. We may change pricing with reasonable notice. You are responsible for any applicable taxes and for any WhatsApp/Meta conversation charges that apply to your messaging usage. Failure to pay may result in suspension or termination.

8. Intellectual property

The Service, including its software, design, logos, and content (excluding your data), is owned by ECOM SOLUTIONS LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, reverse-engineer, or create derivative works except as permitted by law.

9. Third-party services

The Service integrates with third-party platforms (such as Meta/WhatsApp, Converty, Shopify, and payment processors). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and disclaim liability for their acts or omissions.

10. Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law or by Meta/WhatsApp, or to protect the Service or other users. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (such as IP, disclaimers, and limitation of liability) will survive termination.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that messages will always be delivered, as delivery depends on Meta/WhatsApp and other factors outside our control.

12. Limitation of liability

To the maximum extent permitted by law, ECOM SOLUTIONS LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless ECOM SOLUTIONS LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content or messages, your violation of these Terms, or your violation of any law or third-party right.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, unless applicable law requires otherwise.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
